Unsolicited Submissions
At Sandisk Corporation (“Sandisk”), we have an ongoing program of research and development covering an assorted range of topics. Therefore, it is Sandisk policy not to review or consider ideas, suggestions, proposals, creative works or materials other than those that Sandisk has specifically requested. The purpose of this policy is to help Sandisk avoid future misunderstandings when new products, services and features developed internally by Sandisk employees might be similar or even identical to an idea or suggestion that may be submitted. If you still wish to make a submission, please review the following Agreement for Unsolicited Submissions and fill-in the form on the next page.
If you have any questions, comments, requests or feedback about Sandisk products or services, please visit our Support or Community sites instead of using this form Please note that any information that you post on our community sites will be non-confidential and that Sandisk will be allowed to freely use such information without restrictions.
Agreement for Unsolicited Submissions
I acknowledge and agree to comply with the following terms and conditions:
- I agree that nothing in my submission is considered to be secret or confidential. I agree that no confidential relationship of any kind will exist or arise between Sandisk and myself as a result of my submission. I covenant that I will not assert against Sandisk or any of its directors, officers, employees or agents any claim or action arising as a result of my submission to Sandisk.
- I warrant that this submission has not been solicited by Sandisk, that I have the unrestricted right to disclose it to Sandisk and/or dispose of it, and that I am of legal age and otherwise competent to enter this Agreement. The Agreement constitutes our entire understanding with respect to this submission.
- Sandisk will be allowed to freely use any information that I submit without any restriction and without making any payment or other form of compensation to me. I agree that my submission may be reviewed by Sandisk employees and, to the extent that it may be necessary, by people outside of Sandisk, at Sandisk’s sole discretion.
- I agree that this Agreement applies to all information relating to my submission, regardless of when I make such a submission. I also agree that this Agreement applies broadly to Sandisk and to all of its subsidiary companies, and that this Agreement may only be modified or waived in writing, signed by both Sandisk and me.
- I agree that Sandisk has no obligation to respond to my submission.
- I agree to defend, indemnify and hold harmless Sandisk, its directors, officers, employees and agents from and against any claims, actions, losses and expenses (including legal expenses) occasioned by any breach of my representations and warranties regarding my submission.
- I agree that this Agreement shall be deemed to have been executed and delivered within the State of California, and the rights and obligations of the parties hereunder shall be construed and enforced in accordance with, and governed by, the laws of the State of California without regard to any principles of conflict of laws that would result in the application of the laws of any other jurisdiction. In the event a judicial proceeding is necessary, the exclusive forums for resolving disputes arising under or relating to this Agreement shall be the state and federal courts located within the County of Orange, California, and all related appellate courts and the parties hereby consent to the exclusive jurisdiction of such courts, and hereby waive any and all objections based on venue or forum non conveniens.
- I acknowledge that I have either: (i) obtained independent legal advice in connection with this Agreement or; (ii) that I have voluntarily waived the right to seek such independent legal advice for this Agreement.
- I have read this Agreement in its entirety and in consideration of Sandisk’s willingness to permit my submission, I agree to the terms and conditions of the agreement.
